Terms and conditions for using Celebria

1. Acceptance of Terms

By accessing or using Celebria's services, including our website, mobile applications, event management platform, and ticketing services, you agree to be bound by these Terms and Conditions. If you do not agree to all the terms and conditions, you may not access or use our services.

2. Services Description

Celebria provides an event management platform that allows users to create, organize, promote, and sell tickets to events. We also connect event organizers with relevant service providers and venues. Our services include, but are not limited to, event registration, ticketing, attendee management, venue selection, and business booking.

3. User Accounts

To access certain features of our platform, you must register for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Celebria of any unauthorized use of your account.

4. Event Organizer Terms

If you use our services as an event organizer, you are responsible for:

  • Creating and managing your events responsibly
  • Providing accurate information about your events
  • Complying with all applicable laws regarding public gatherings
  • Managing attendee data in compliance with privacy laws
  • Fulfilling the commitments you make to attendees

5. Business Provider Terms

If you use our services as a business or venue provider, you agree to:

  • Provide accurate and up-to-date information about your services
  • Honor bookings made through our platform
  • Communicate promptly with event organizers
  • Comply with cancellation policies as outlined in your service listings
  • Maintain appropriate business licenses and insurance

6. Attendee Terms

When purchasing tickets or registering for events, attendees agree to:

  • Provide accurate personal information
  • Comply with all event rules and requirements
  • Use tickets in accordance with their terms
  • Understand that tickets are subject to the refund policy of the event organizer
  • Not share, duplicate, or resell tickets unless explicitly permitted

7. Payments and Fees

Celebria charges service fees for the use of our platform. These fees will be clearly displayed before completion of any transaction. Payment processing is handled securely through our payment providers. Refunds are subject to the policies set by event organizers, but Celebria service fees are generally non-refundable. In applicable cases, Celebria may collect payments as an intermediary on behalf of event organizers or service providers.

  • Unpaid ticket orders are auto-cancelled after 24 hours, or within 2 hours when the event is within 48 hours.
  • Once an unpaid order is cancelled, online card checkout is no longer available for that order.
  • Manual payment processing (for EFT/Cash scenarios) may still be supported from back-office tools, subject to ticket availability and business approval.
  • PayFast payment reconciliation watchdogs may automatically close stale pending card transactions and align related order/subscription/booking states.
  • When subscription upgrade payments succeed, overlapping older subscriptions may be inactivated automatically.

7b. Marketplace Model and Agency Relationship

Celebria operates as a technology platform and intermediary that connects event organizers, businesses, and attendees. In certain transactions, Celebria may facilitate payments from attendees to event organizers or service providers.

  • Celebria acts solely as an agent or intermediary facilitating transactions between attendees and event organizers or service providers.
  • Event organizers and service providers are the primary sellers of tickets and services and remain responsible for fulfillment, delivery, and any obligations to attendees.
  • Payments may be processed by third-party payment providers and may be temporarily held, routed, or settled via Celebria for onward payout to the relevant organizer or provider.
  • Celebria does not provide financial, legal, or tax advice, and does not assume responsibility for the legality or suitability of any event or service listed by third parties.

7c. Organizer Legal, Permit, Insurance, and Tax Responsibilities

Event organizers (and, where applicable, service providers) are responsible for complying with all laws and requirements applicable to their events and transactions, including:

  • Obtaining and maintaining any required permits, venue approvals, permissions, and licenses (including municipal approvals where applicable).
  • Ensuring appropriate safety measures, security arrangements, capacity limits, and crowd management.
  • Obtaining and maintaining appropriate insurance (including public liability insurance where applicable).
  • Compliance with consumer protection, privacy, and marketing laws, including any required disclosures to attendees.
  • All tax obligations (including VAT where applicable) and issuing any required invoices/receipts or tax documentation.

7d. Chargebacks, Disputes, and Fraud Prevention

Payment disputes (including card chargebacks) may occur. Where a chargeback, reversal, dispute, or suspected fraudulent transaction arises:

  • Celebria may request evidence from the organizer (and/or attendee) to contest the dispute, including proof of attendance, delivery, communications, or refund policy acceptance.
  • Celebria may suspend payouts, reverse credits, or deduct disputed amounts and associated fees from future payouts where required by payment providers or to recover losses.
  • Celebria may place a temporary reserve, delay settlement, limit features, or suspend accounts to manage risk and prevent misuse of the platform.
  • Organizers remain responsible for the underlying event fulfillment and for responding to attendee complaints in a timely manner.

7e. Payouts, Settlement, and Verification

Payouts to organizers or service providers are subject to payment provider processing timelines, verification checks, risk controls, and platform rules:

  • Celebria may require identity/business verification and supporting documentation before enabling or releasing payouts.
  • Settlement timing may vary by payment method and provider and may be delayed for risk reviews, disputes, refunds, or suspected fraud.
  • Where refunds are issued (or required), refunded amounts and related fees may be deducted from current or future payouts.
  • If an organizer has insufficient balance to cover refunds, reversals, disputes, or fees, the organizer remains liable for the outstanding amount.

8. Cancellations and Refunds

Event organizers set their own cancellation and refund policies, which are displayed at the time of ticket purchase. Business providers must adhere to the cancellation terms specified in their listings. Celebria is not responsible for providing refunds unless required by law.

  • Confirmed bookings enter a 3-day post-event grace period for organizer disputes or no-show logs.
  • If no dispute/no-show is logged during that grace period, the booking may be automatically moved to Fulfilled.

9. Intellectual Property

All content on the Celebria platform, including text, graphics, logos, images, and software, is the property of Celebria or its content suppliers and is protected by copyright and intellectual property laws. Users may not copy, modify, distribute, or create derivative works without our express permission.

10. Privacy Policy

Your use of our services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using Celebria, you consent to the data practices described in our Privacy Policy.

11. Limitation of Liability

Celebria is not liable for any indirect, incidental, special, or consequential damages arising from your use of our services. We do not guarantee the accuracy of information provided by event organizers or business providers. In no event shall our total liability exceed the amounts paid by you to Celebria in the six months preceding the claim.

12. Indemnification

You agree to indemnify and hold Celebria harmless from any claims, damages, liabilities, costs, or expenses arising from your violation of these Terms or your use of our services.

13. Modifications to Terms

Celebria reserves the right to modify these Terms at any time. We will provide notice of significant changes through our website or by email. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions.

15. Social Impact Commitment

Celebria commits to donating 5% of platform profits to charitable causes. Charity allocation, timing, and beneficiary reporting may be updated over time and published through our official channels.
